1. Company Information

These Terms of Service ("Terms") govern access to and use of the services provided by:

("Trinzz," "Company," "we," "us," or "our").

By accessing or using the Services, you ("Client," "User," or "you") agree to be legally bound by these Terms.

If you are entering into these Terms on behalf of an entity, you represent that you have authority to bind that entity.

2. Description of Services

Trinzz INC provides clinical-grade data infrastructure services designed to support the development, validation, and improvement of artificial intelligence systems in healthcare and biomedical applications.

Services may include:

  • Medical data annotation and structuring
  • Multimodal dataset preparation (including radiology, pathology, oncology, and related domains)
  • Expert validation workflows
  • Inter-observer consistency measurement
  • Quality assurance systems
  • Audit trail infrastructure
  • AI model validation support tools

The Services are intended for research, development, validation, and infrastructure support purposes only.

IMPORTANT DISCLAIMER

Trinzz INC:

  • Is not a healthcare provider
  • Does not provide medical advice
  • Does not diagnose or treat patients
  • Does not make clinical decisions
  • Does not provide regulatory approval services

Any outputs generated through the Services must not be used as a substitute for independent clinical judgment or regulatory review.

3. Client Responsibilities

Client represents and warrants that:

  • It has all necessary rights, authorizations, and legal bases to provide data to Trinzz
  • Any patient data shared complies with applicable laws
  • It will not use the Services in violation of healthcare, privacy, export, or AI regulations
  • It retains full responsibility for regulatory filings, model deployment, and clinical use

Trinzz does not verify the legality of data provided by Client.

4. Data Ownership & Processing Role

4.1 Client Data

All data provided by Client ("Client Data") remains the property of the Client or its licensors.

Trinzz processes Client Data solely for the purpose of delivering the Services.

Unless otherwise agreed in writing:

  • Client is the Data Controller
  • Trinzz is the Data Processor

Trinzz does not claim ownership over Client Data.

4.2 Derived Materials

Annotated outputs, structured datasets, validation reports, and related deliverables shall belong to Client unless otherwise specified in a written agreement.

Trinzz may retain:

  • De-identified
  • Aggregated
  • Non-patient identifiable
  • Statistical or performance-related metadata

for internal quality improvement and infrastructure enhancement.

5. Data Security & Safeguards

Trinzz implements commercially reasonable administrative, technical, and organizational safeguards including:

  • Encryption in transit
  • Encryption at rest
  • Role-based access controls
  • Credential verification for expert reviewers
  • Access logging and monitoring
  • Segregated project environments

Trinzz does not guarantee that the Services will be immune from cybersecurity threats.

Client acknowledges that no digital system is completely secure.

6. Regulatory Compliance

Trinzz designs workflows aligned with recognized healthcare data protection frameworks, including:

  • HIPAA principles (where applicable and contractually agreed)
  • GDPR (where applicable)
  • Industry-standard security controls

However:

  • Trinzz does not guarantee regulatory approval of any AI system
  • Trinzz does not assume responsibility for compliance determinations
  • Regulatory filings remain Client's responsibility

Where applicable, a separate Business Associate Agreement (BAA) or Data Processing Agreement (DPA) may govern.

7. Expert Network

Trinzz may engage licensed or qualified professionals for annotation and validation work.

Expert contributions:

  • Are performed under confidentiality obligations
  • Are conducted within controlled environments
  • Are intended for dataset development purposes

Expert annotations do not constitute medical diagnoses or treatment recommendations.

8. Intellectual Property

All proprietary systems, software, dashboards, workflows, quality frameworks, and infrastructure tools developed by Trinzz remain the exclusive property of Trinzz INC.

No rights are granted except as expressly stated in a written agreement.

Client may not:

  • Reverse engineer systems
  • Replicate proprietary infrastructure
  • Develop competing infrastructure using Trinzz tools

9. Limitation of Liability

To the fullest extent permitted by law:

Trinzz INC shall not be liable for:

  • Clinical decisions
  • Patient outcomes
  • Regulatory rejection
  • Model inaccuracies
  • Indirect, incidental, consequential, or punitive damages

Total liability shall not exceed the fees paid by Client to Trinzz in the preceding twelve (12) months.

10. Indemnification

Client agrees to indemnify and hold harmless Trinzz INC against claims arising from:

  • Unauthorized data sharing
  • Regulatory violations by Client
  • Improper deployment of AI systems
  • Misuse of annotated datasets

11. Termination

Either party may terminate Services in accordance with contractual agreements.

Upon termination:

  • Client Data will be returned or deleted per agreement
  • Access credentials will be revoked

12. Governing Law

These Terms shall be governed by the laws of the State of Delaware.

Any disputes shall be resolved in courts located in Delaware, unless otherwise agreed in writing.
